Crise da VarigLog já pode ter causado 800 demissões (A Tarde, Bahia, Brazil) — “800 layoffs possibly caused by VarigLog crisis.”
An American fund wins a lawsuit in which its Brazilian partners try to oust it from management control of the troubled VarigLog airfreight carrier. The verdict is upheld on appeal.
At the same time, criminal proceedings are filed against the representative of the U.S. fund running the airline, on charges related to legislation limiting foreign ownership of Brazilian carriers. But the seizure of the fund executive’s passport is also overturned.
This is a curious situation, involving, among other things, charges of media dirty-war tactics and coopted journalism.
Let me just try to clip some of what has been published so far before trying to puzzle out what it all means.
As A Tarde notes yesterday, in a story on layoffs at the carrier:

The company’s shareholders are involved in litigation. On one hand, Brazilian partners Marco Antonio Audi, Luiz Eduardo Gallo and Marcos Haftel were removed from management of the firm by a São Paulo court. Today [April 23], the state high court upheld the removal, refusing to issue an injunction that would have returned them to company management.
O fundo de investimentos americano Matlin Patterson, dono de 60% do capital total da empresa, é quem tem atualmente a gestão da empresa, mas seu representante, Lap Wai Chan, está fora do País.
U.S. investment firm Matlin Patterson, which owns 60% of the company’s shares, is currently running the company, but its representative, Lap Wai Chan, is out of the country.
The firm has an office in the Vila Olimpia here in São Paulo.
O juiz José Paulo Magano, da 17ª Vara Cível de São Paulo, havia pedido o confisco de seu passaporte, por causa de uma transferência de US$ 71 milhões de uma conta da VarigLog na Suíça para o seu fundo, o que havia sido desautorizado pelo juiz. Ainda hoje, o TJ de São Paulo concedeu liminar a Chan impedindo a apreensão de seu passaporte, informou o fundo americano.
Judge Magano of the 17th Civil Bar of São Paulo had requested his passport be confiscated because of a US$71 million transfer from a VarigLog account to his fund in Switzerland, which the judge had ordered not be effectuated. Today, however, the state high court granted an injunction in favor of Chan, preventing his passport from being seized, the U.S. fund says.
In October of last year, the Folha de S. Paulo reported that the “global distressed private equity frm” Matlin planned to exit the company — which the fund denied — after setting up a Brazilian subsidiary, Volo do Brasil, to acquire the subsidiary of the bankrupt Varig.
The subsidiary then bought the parent company and sold it to Gol Airlines.
The Folha described the disagreement as follows:
Os acionistas divergem sobre o destino dos recursos referentes à venda da Varig. Segundo João Luís de Sousa, presidente da VarigLog, a companhia possui contas abertas em diversos países e os recursos têm sido usados na manutenção das operações da empresa. Já o executivo do fundo, Lap Chan, argumenta que nunca houve comunicado formal sobre como os recursos foram aplicados, mas nega a intenção de deixar a VarigLog.
The shareholders have different views on what was done with the proceeds of the sale of Varig. João Luis de Sousa, president of VarigLog, says the company has a number of open accounts in various countries, and that the funds were used to maintain operations. Fund executive Lap Chan, however, says there was never any formal communication about how the funds were being used, but denies the fund intends to exit the company.
Consultor Jurídico has taken as special interest in the legal dispute.
In a (somewhat bizarre) broadside against journalist Paulo Henrique Amorim last week, CJ editor Márcio Chaer digresses (somewhat inexplicably) from his principal target to claim that another journalist has been coopted “by one of the parties to the litigation” into providing “evidence” “that swayed a not very discerning judge in the case” of VarigLog.

Magnavita fez o que o ministro Gilmar Mendes, do STF, descreve como “o truque do mau policial que coloca cocaína no carro da sua vítima e a prende em seguida por porte de cocaína”. A manobra de Magnavita, que também é presidente da Associação Nacional dos Jornalistas de Turismo, turbinou o juiz e o noticiário.
Last week, hired by one of the parties to the litigation involving VarigLog, journalist Cláudio Magnavita of the Jornal do Brasil, with illegally obtained evidence in hand (intercepted correspondence) convinced a not very discerning judge to punish his sponsor’s competitor. Magnavita pulled what Justice Mendes of the Supreme Court describes as “the trick of a bad cop who plants cocaine in the victim’s car and then arrests him for possession.”
This is misleading. Mendes was not referring to Magnavita in particular.
Writing in the Gazeta Mercantil, Magnavita did seem to have editorialized unduly while reporting the story:
Dias antes, o próprio juiz determinou o fundo como gestor da empresa e o chinês passou a ser o primeiro estrangeiro a comandar uma companhia aérea no País. Enquanto isso, a VarigLog – que em 2006 era a maior companhia de carga aérea do País, com 50% do mercado – passa a pior crise da sua história, reduzida a uma frota de apenas três aeronaves.
Days before, the same judge confirmed the fund as the manager of the company and the Chinese businessman became the first foreigner ever to command a Brazilian airline. In the meantime, VarigLog — in 2006, the largest airfreight company in Brazil, with a 50% market share — suffered the worst crisis in its history, reduced to a fleet of just three aircraft.
I have read five. It stopped making the lease payments on its fleet, and a court ordered the aircraft repossessed. This is what I am gathering.

Before assuming control of the company, the fund placed a vile stranglehold on VarigLog, blocking its funds and repossessing part of its fleet. This information was confirmed by former Col. Eduardo Artur (director of Martel Aviation Consulting), in a statement during Intermodal South America 2008, held this week in São Paulo.
Hysterical rhetoric from retired Air Force colonels may suggest that lurking somewhere in the background of the story is resistance to the policy of getting the military out of the airline and air traffic control business, as Kirchner did in Argentina.
The Jornal do Brasil boasted on April 11 that its investigative reporting had led to the outbreak of the scandal:

Matlin Patterson partner Lap Wai Chan, owner of VarigLog, left the country last Wednesday before a court order to prevent him from leaving the country could reach the federal police. Chan reportedly tried to transfer nearly $86 million in company funds to an offshore account. The fund denied to the Folha de S. Paulo that it had tried to misappropriate funds.

The Chinese businessman was fined US$1 million and was ordered to appear before Judge Magano last Thursday.
O magistrado atendeu às denúncias do comitê judicial da VarigLog, assinada por Luiz Gaj e Alfredo Luis Kugelmas. Eles anexaram os documentos que comprovariam que, contrariando a ordem judicial, o diretor da Matlin Patterson ordenava a transferência de U$ 86 milhões depositados na Suíça para uma conta da empresa Volo Logistics LLC.
The judge accepted the complaint lodged by VarigLog’s office of legal counsel, signed by Luiz Gaz and Alfredo Luis Kugelmas. They attached documents proving that, in violation of a court order, the Matlin Patterson director ordered the transfer of $86 million to a Swiss account belonging to Volo Logistics LLC.
O assunto estourou em São Paulo, durante a apuração da reportagem do Jornal do Brasil e levou a uma reação imediata dos gestores judiciais, no momento que tiveram conhecimento das cartas supostamente assinadas por Lap Wai Chan. Os dólares depositados na Suíça, oriundos da venda da nova Varig, deveriam ser repatriados e aplicados na recuperação da companhia aérea.
The story broke in São Paulo during investigations by Jornal do Brasil reporters, and brought an immediate response from the courts as soon as they learned of the letters supposedly signed by Lap Wai Chan. The dollars deposited in Switzerland, which derive from the sale of the new Varig, are due to be repatriated and invested in the recovery of the airfreight company.
The Estado de S. Paulo has a pretty thorough, but unsourced, summary of the history of the case. Excerpts:

O processo de dissolução de sociedade foi movido no final do ano passado pelos sócios brasileiros contra o sócio estrangeiro, mas quem acabou sendo afastado foram os brasileiros – sob acusação de gestão temerária, desvio de recursos da companhia.
The suit to dissolve the company was filed last year by the Brazilian partners against the foreign partner, but it was the Brazilians who ended up ousted from management, accused of breach of fiduciary duty [irresponsible management] and misappropriation of company funds.
No mesmo despacho em que afastou os brasileiros, em 1º de abril, o juiz Magano deu poderes à Volo LLC (controlada pelos sócios estrangeiros), mas estabeleceu como condição que a mesma não remetesse para si o saldo de mais de US$ 80 milhões de uma conta da VarigLog na Suíça. Entretanto, dois dias após receber a gestão da companhia, Lap Chan tentou sacar o dinheiro. A transferência para uma conta da Volo em Nova York só não aconteceu porque o juiz descobriu e determinou o bloqueio.
In the same order that remove the Brazilians from management, on April 1, Judge Magano granted powers to Volo LLC (controlled by the foreign partners), but only on the condition that the foreign partners not transfer to itself some $80 million in a VarigLog account in Switzerland. Even so, two days after being given control of the company, Lap Chan tried to withdraw the money. The transfer to a Volo account in New York failed to go through only because the judge found out about it and ordered the transaction blocked.
Chamou a atenção do juiz o fato de que o pedido de transferência de Lap para o banco Lloyds na Suíça foi enviado por fax do escritório Teixeira & Martins Advogados, de Roberto Teixeira, que é ex-advogado da VarigLog e não representa o Matlin Patterson nessa disputa societária. Teixeira, segundo o juiz, ajudou o Matlin a descumprir uma ordem judicial.
What got the judge’s attention was that the transfer request sent by Lap to Lloyd’s Bank in Switzerland was sent by fax from the law offices of Teixeira & Martins, run by Roberto Teixeira, who is a former attorney for VarigLog and does not represent Matlin Patterson in the dispute for control. Teixeira, according to the judge, aided Matlin in flouting a judicial order.
Lap Chan já foi multado por isso. O juiz determinou à época que ele fosse impedido de deixar o País, com a apreensão de seu passaporte. Mas Lap já havia embarcado ao exterior. Na terça-feira, Lap Chan conseguiu um habeas corpus e está livre para voltar ao País.
Lap Chan was fined for this [the attempted transfer]. The judge ruled at the time that he be prevented from leaving Brazil by seizing his passport. But Lap had already traveled out of the country. On Tuesday, Lap Chan successfully petitioned for habeas corpus and is free to return to Brazil.
O ex-administrador judicial da VarigLog, José Carlos da Rocha Lima, também deve ser investigado. No despacho, o juiz o acusa “do mais completo desmando na condução da gestão e da administração judicial”. Rocha Lima assinou uma procuração para o escritório de Teixeira abrir mão, em nome da VarigLog, das demandas judiciais feitas pelos sócios brasileiros contra o sócio estrangeiro. O detalhe é que Rocha Lima assinou a procuração no dia em que foi destituído do posto de administrador judicial. Sua destituição ocorreu um mês após ter sido nomeado com a revelação de um e-mail seu para Lap Chan com uma proposta de venda da VarigLog.

A briga dos sócios brasileiros e estrangeiros começou após a venda da Varig para a Gol, em 29 de março de 2007, por US$ 270 milhões, operação que contou com a intermediação do advogado Roberto Teixeira. A Varig-Log havia adquirido a Varig em leilão judicial em julho de 2006, por US$ 26 milhões. O escritório de Teixeira participou ainda da aprovação, junto à Agência Nacional de Aviação Civil (Anac), da compra da VarigLog pela Volo LLC, em sociedade com os três brasileiros (Volo do Brasil). Também representou a VarigLog no processo de homologação da nova Varig (VRG).

Em um despacho assinado em 1º de abril, o mesmo juiz sugere, em linguagem jurídica, que os três brasileiros seriam laranjas do fundo. Segundo o juiz, os brasileiros “foram inseridos na sociedade pela (Volo LLC)” e agiram em conluio para “burlar” o Código Brasileiro da Aeronáutica e conseguir a concessão de transporte aéreo. Pela lei brasileira, estrangeiros não podem ter mais de 20% de uma companhia aérea.
