VarigLog: Shadows and Fog

If Gol and TAM thought jumping up and down on the corpse of Varig was going to guarantee them a domestic duopoly, they must not have been counting on Trip and Azul.

The Gazeta Mercantil (Brazil) — owned by a gentleman, Nelson Tanure, who once had designs of his own on the assets of the failed Varig airlines — analyzes the latest developments in the so-called “VarigLog scandal.”

I mention it only because I tend to clip stories about foreign firms who end up in the middle of political brouhahas — what the consultancies like to call “political risk.” Cisco suffered embarrassment of this kind last year, in a case involving alleged tax evasion by its privately held Tupi subsidiary, and more recently, Alstom and Agrenco have come to grief in similar ways in the court of public opinion.

Reading the Brazilian papers, what the cases have in common, apart from the merits of the formal accusations, is that you are going to have be very good at reading between the lines if you want to figure out the simple who, what, when, where, why and how of them, just from reading most Brazilian newspapers, which tend to feel they need soap opera plots, not shades of gray, to keep their readerships infotained.

An executive of U.S. “distressed equity” firm MatlinPatterson, which, along with three local partners, acquired the VarigLog freight subsidiary, used it to launch an LBO of the parent company, then sold the parent company to Gol Airlines — which seems like a creative bit of deal-making, from a purely technical point of view — finds himself in the midst of a Jacobean revenger’s tragedy staged by the local press, which has focused an enormous amount of attention on the $385 million deal.

I am just clipping and translating this item, mind you; I do not claim to fully understand the deal in question. I do know that Matlin and its Brazilian partners are fighting in court over how to divvy up the proceeds from the deal.

Which tends to make me wonder whether this is not just one of those cases in which litigants with reporter friends wage infowar against their adversaries. Happens a lot here, apparently. Luis Nassif writes about this phenomenon a lot.

This is not just some rare case of [proverbial Brazilian shaggy dog story], in which Teixeira was magically transformed from one moment to the next into learned counsel capable of asking for, and getting, his weight in gold. Unlike the Jesuit father Vieira, who suddenly and miraculously received the divine gift of eloquence, the lawyer made his first millions thanks to his knack for opening palace doors.

Ao se especializar em advogar para a aviação comercial, Teixeira escolheu uma atividade de capital intensivo, totalmente dependente do poder concedente: o Governo Federal. Na Transbrasil, conseguiu postergar por anos os espaços aeroportuários da empresa. Carlos Wilson, presidente da Infraero no primeiro governo Lula, fechou os olhos para a ocupação das áreas ociosas da empresa. Ele tentou se aproximar da antiga Varig, levado pelas mãos de Daniel Mandelli, ex-presidente da TAM, que chegou a atuar como consultor da empresa e depois que foi demitido. O pleito de Teixeira foi rechaçado pela Varig, antes da recuperação judicial. Uma análise do processo de venda da VarigLog, e da própria Varig, revela que a sua atuação foi mais teatral do que efetiva. Conseguiu, sim, de forma concreta, contrapor o lobby que a TAM instalou na Casa Civil, na época do ex-ministro José Dirceu, e que posteriormente migrou para uma diretoria da Agência Nacional de Aviação Civil (Anac).

While working for Transbrasil, he managed to hang on to the airline’s slots for years. Teixeira tried to approach the late Varig through Mandelli, former president of TAM, who was eventually brought in as a consultant to the company before being fired. Varig rejected Teixeira’s advances, then entered bankruptcy. An analysis of the sale of the VarigLog freight subsidiary, and the sale of Varig itself, reveals that Teixeira’s role was more theatrical than actual. He did manage to neutralize the TAM lobbyist infiltrated into the Casa Civil, which at the time was headed by Zé Dirceu, which lobbyist was later appointed to an executive position with ANAC, the national civil aviation agency.

O foco político dado ao problema criou uma cortina de fumaça sobre a situação da VarigLog, que está sendo benéfica ao Matlin Patterson, dos Estados Unidos. Ninguém fala mais do empresário Lap Wai Chan, representante da empresa americana, que continua mandando na VarigLog e se prepara para uma solução jurídica no caso de a Anac decidir não concordar com a gestão estrangeira na empresa, como manda a legislação do País.

The political spin applied to the case created a smokescreen that concealed the true situation of VarigLog, which is being very generous with Matlin. No one talks about Maitlin partner Lap Wai Chan, who represents the American firm in Brazil, and who continues to run VarigLog while preparing a legal solution in case ANAC comes down against foreign management control of the firm, as Brazilian law provides.

I think — this is just a foggy notion I have somehow gotten — the argument is that because Matlin’s stake consists of non-voting shares, it is not formally in control (though the claim is that it has effective control.)

Uma teia de “coincidências” judiciais em São Paulo garante a continuidade da burla do artigo 181 do Código Aeronáutico em beneficio de Chan e do fundo de investimentos Matlin Patterson. Enquanto isso, são esquecidos os verdadeiros protagonistas e tenta-se dar uma dimensão de escândalo político à simples atuação de um advogado, que remunerado de forma milionária, usou indevidamente o nome do amigo presidente para pressionar um terceiro escalão, que, a exemplo da mídia, acreditava em um endosso presidencial para cada passo de Roberto Teixeira e de sua família.

O papel de Teixeira tem sido muito mais de bufão do que de Rasputim da corte petista. Hoje milionário, pelo engodo que protagonizou, deveria ser punido pelo constrangimento que causa ao amigo. Poderia receber como pena o banimento público dos corredores oficias de Brasília.

Having made millions from the deception he took part in, he ought to be made to pay for the embarassment he is causing his friend Lula.
